TERMS & CONDITIONS
INVENTORY CLOUD INCORPORATED TERMS & CONDITIONS
THE FOLLOWING TERMS & CONDITIONS CONTAIN LEGAL OBLIGATIONS AND REQUIREMENTS. BEFORE USING INVENTORYCLOUD.CA, READ OVER THE FOLLOWING IN ITS ENTIRETY TO ENSURE YOU MAINTAIN COMPLIANCE. By using Inventorycloud.ca (the “Site”) and having access to the New Condo Units (the “Inventory”) and all related Builder material (the “Content”), you are agreeing to all of the following Terms & Conditions (the “Terms of Use”):

ACCEPTANCE OF ANY AND ALL TERMS AND CONDITIONS, INCLUDING ANY REVISIONS MADE AFTER ACCEPTANCE.
- It is understood that by accepting and agreeing to our Terms of Use, you have read and comprehend all of the material, and will comply with any and all requirements outlined within. Should there be anything enclosed that you do not agree with, ceasing access to our site is a necessary course of action.
- Revisions to any of the Terms of Use may be made without notice and it is further understood that you are in agreement with said revisions should you continue with use of the site thereafter.

INTENT

Access to the site for the purpose of reserving any of the Inventory on behalf of buyers (the “Purchasers”), is only permitted to those currently registered & licensed Real Estate Sales Representatives, otherwise known as REALTORS® (the “Agents”) and the salespersons (the “salespersons”) working on behalf of the Developers sales office. Any access to Inventorycloud.ca and/or any other affiliated domains, is strictly prohibited to anyone not currently holding a valid real estate license. By using the Site, you are confirming:
- You are currently, and at any time during the use of the Site, a registered real estate agent in good standing.
- The information you provide to confirm identity is truthful and not falsified in any way.
- Our site displays the inventory that new condo/home builders have agreed to being displayed on the Site. We reserve the right to use any and all information in marketing/advertising, but do not transfer that right to Agents and Purchasers. Permissions to market and advertise such developments can only be granted by the Developer and that consent should be verified by each individual agent before doing so.
- We are not a real estate brokerage. We enable Agents working on behalf of Purchasers to find available Inventory and place a unit on hold for their Purchaser. The Home/Condo Builder (the “Developer”) carries out the transaction – completion of Agreement of Purchase and Sale (the “APS”).
- Any Information, Inventory, or Content that is on the Site is subject to change or alteration, at any time, without the need for prior notice.

LIVE INVENTORY
- The Inventory on our site is Live in Real Time. The Inventory is connected to the Developer, and all Agent and Salesperson (the “Salesperson”) members. When a member (collectively known as an “Agent”, “Developer”, or “Salesperson”) reserves a unit, that reservation is reflective across the whole platform, making it Live. This reservation is good for a period of 24 hours by default (however it is up to the individual Developer whether they want a shorter or longer grace period), in which if you have not responded to the Developer’s request to go in to the sales center, your reservation shall become null and void at the Developer’s sole and absolute discretion.
- Two Agents may not reserve a unit at the same time. While a unit reservation is being filled in for a unit, no other Agent may fill in a reservation for that same unit. There is a timeout that will allocate a set amount of time to complete the reservation form. The form must be completed and submitted within that time for the reservation to take effect, otherwise the unit will become available to any other Member.
- We (the “Inventory Cloud Inc.”) do not make any representation or warranty on any of the information displayed on our site as the Developments are uploaded and verified for accuracy by the Developer and their Sales Team prior to going live on the system. It is the Developer’s sole responsibility to ensure that any and all information, Content, and Inventory, are correct and accurate.

IP (“Intellectual Property”)

Any and all content displayed on the Site is owned and/or licensed for use by Inventory Cloud Inc. This information is not to be replicated, duplicated, and/or used for any other purpose than for that which it was intended. This information includes but is not limited to the following:
- Any and all logos, graphics, domain names, social media, trademarks, aliases.
- Developments and all any and all information are licensed for use of display to Inventory Cloud Inc. only.

Any and all content displayed on the Site is owned and/or licensed for use by Inventory Cloud Inc. This information is not to be replicated, duplicated, and/or used for any other purpose than for that which it was intended. This information includes but is not limited to the following:

USER ACCESS
- Access to the Site for the purpose of reservation is only given to licensed Agents. Anyone registering for an account with Inventory Cloud as a REALTOR®, must have a real estate license in good standing, and currently be a member of their respective real estate board, and provincial/state governing body. A valid license number along with the board/association that the Agent is with must be provided during Registration.
- Agent members agree to not abuse the privilege of having access to Inventory by simultaneously reserving units in which they do not have actual Purchaser’s for. If an agent is found to be misusing the Site, they can and will be banned from accessing the inventory entirely at the sole and absolute discretion of Inventory Cloud Inc.

Unit reservations by default will be held for 24 hours from the time of submitting. A Developer may require less time for keeping a unit on hold at their discretion. Inventory Cloud Inc. makes not representation or warranty that their reservation will be upheld in the event that the Agent cannot execute the deal with the Developer in a timely manner. The Builder, in their sole and absolute discretion, may cancel a reservation if an Agent:
- Does not communicate within a 24 hour period with the sales office.
- Cannot make it in to the sales office in a timely manner.
- Any Agent submitting information on a Purchaser’s behalf assumes full responsibility that any and all information is complete and accurate.

LIMITED LIABILITY
- Inventory Cloud Inc., it’s Site and any subsidiaries of either, shall not be held liable for any damages resulting directly and/or indirectly from any use or misuse of the Site and its Content. Such damages could include, but are not limited to: Loss of Business, Loss of Information, Loss of Data, Lost or diminished revenues.

DISCLAIMERS
- Inventorycloud.ca and Inventory Cloud Inc. are not a sales agency, does not represent the Developer in their sales dealings, and will not be involved in the closing process of any transaction. For any specific inquiries regarding sales, Agents are to contact the Developer and their respective sales office directly directly.
- Developers with Inventory on the Site are under contract with Inventory Cloud Inc. to provide such information. We make no representation that this information shall be allowed to be distributed by anyone using our site through there own marketing efforts. It is the sole responsibility of each Agent to ensure that the Developer will allow them to use their information how they see fit to market the developments.
